This page is the English translation of the French general terms and conditions of sale (CGV). In case of discrepancy, the French version prevails.
1. Scope
These general terms and conditions of sale (the “Terms”) apply to all services provided by Aardvarks Digital (Damien Oumanetz, sole trader (entrepreneur individuel), SIRET 819 108 556 00062), based at 27 rue de la Gerbretière, 85000 La Roche-sur-Yon, France, to its business clients (B2B).
Any order for services implies unreserved acceptance of these Terms. These Terms prevail over any other document issued by the client.
2. Services offered
Aardvarks Digital offers the following services:
- SEO and GEO (Generative Engine Optimization) audits
- Local and national search engine optimisation (SEO)
- Link building strategy and backlink acquisition
- SEO/GEO content writing and optimisation
- Creation, redesign and optimisation of WordPress websites
- GEO strategy / visibility in generative AI
- Maintenance and hosting of WordPress websites
3. Quotes and orders
Every service is subject to a free, detailed quote, valid for 30 days from its date of issue. The order becomes firm and final upon receipt of the signed quote together with a deposit of 40% of the total amount.
For recurring services (monthly packages), the order becomes firm upon receipt of the signed purchase order or of written agreement by email.
4. Prices
Prices are expressed in euros. VAT not applicable under Article 293 B of the French General Tax Code (VAT exemption for small businesses). The applicable prices are those stated in the quote accepted by the client. Aardvarks Digital reserves the right to change its prices at any time; new prices take effect 30 days after notification to the client.
5. Payment terms
- One-off services: 40% on order, balance on delivery
- Monthly packages: monthly invoicing in advance, payment within 30 days
- Accepted payment methods: bank transfer, cheque, card payment via a secure payment link
Any late payment automatically incurs late-payment penalties calculated at three times the French legal interest rate in force, plus a fixed recovery fee of €40, in accordance with Article L.441-10 of the French Commercial Code.
6. Lead times
Indicative lead times are specified in the quote. They may change if the client is late in providing the elements needed (access, content, approvals). Aardvarks Digital cannot be held liable for delays attributable to the client.
7. Client obligations
The client undertakes to:
- Provide, within the agreed time frame, the elements needed to perform the services (server access, texts, images, logos, etc.)
- Appoint a single contact person with decision-making authority
- Approve deliverables within 7 working days of receipt
- Pay invoices within the agreed time frame
8. Obligations of Aardvarks Digital
Aardvarks Digital undertakes to:
- Perform the services with the care and diligence of a professional
- Keep confidential the information provided by the client
- Inform the client of anything likely to affect the proper performance of the service
SEO and GEO services are an obligation of means, not of results. Aardvarks Digital applies industry best practices but cannot guarantee specific positions in search engines or specific citation rates in generative AI, as these results depend on third-party algorithms over which Aardvarks Digital has no control.
9. Termination
Monthly packages: may be terminated at any time with 30 days’ notice by registered email. Services in progress on the termination date remain payable.
One-off services: if the client cancels after a firm order, the deposit paid remains with Aardvarks Digital as a fixed indemnity.
10. Intellectual property
Deliverables (texts, code, designs) created as part of the services are assigned to the client permanently and exclusively upon receipt of full payment for the service. Aardvarks Digital retains the right to mention the work in its commercial references, unless otherwise agreed in writing.
11. Confidentiality
The parties mutually undertake to keep confidential all information exchanged in the course of their business relationship. This obligation applies for the entire duration of the service and for 3 years after it ends.
12. Liability
The liability of Aardvarks Digital is limited to the amount paid by the client for the service concerned. Aardvarks Digital cannot be held liable for indirect damage, in particular loss of revenue, loss of customers or loss of data.
13. Governing law and disputes
These Terms are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution before any legal action. Failing an amicable agreement, the dispute will be brought before the competent French courts.
